JTC - Corporate Governance Report for the year 2025 Introduction and Compliance Statement JTC Logistics Transportation and Stevedoring Company K.S.C.P. (JTC/The “Company”) is committed to applying best practices of corporate governance, believing that sound governance is a fundamental pillar for sustainability, institutional efficiency, protection of shareholders’ rights, and strengthening confidence in the Company’s business and financial performance. In this context, the Board of Directors and Executive Management fully comply with the Corporate Governance Rules issued by the Capital Markets Authority (CMA) as set out in Book Fifteen of the Executive Bylaws of Law No. (7) of 2010 and its amendments, in a manner commensurate with the nature and size of the Company’s activities and its status as a company listed on Boursa Kuwait. The Board has adopted an integrated corporate governance framework comprising policies, regulations, and internal procedures governing the relationship between the Board, executive management, and stakeholders, and defining authorities, responsibilities, and duties. This framework is reviewed and updated periodically to ensure its continued effectiveness and alignment with best practices and regulatory requirements. JTC confirms its continuous commitment, since its listing on Boursa Kuwait, to implementing corporate governance rules and submitting the relevant reports within the deadlines stipulated by the Capital Markets Authority.
